The workshop is designed as a practical, end-to-end walkthrough of an M&A transaction, combining technical input on legal structuring and key agreements with an interactive role-play exercise in which participants negotiate a transaction between two parties.
In today’s increasingly complex M&A landscape, successful transactions depend not only on strategic fit and valuation alignment, but also on sound legal structuring and well-designed contractual frameworks. This workshop brings together legal and commercial perspectives to explore the key building blocks of transaction structuring, highlight the most critical contractual provisions, and translate theory into practice through hands-on negotiation exercises. Participants will gain practical insight into how legal structures shape deal outcomes and how core agreements drive risk allocation, pricing certainty, and post-signing obligations.
